Welcome to use Tingchi membership services. In order to protect your rights and interests, please carefully read and fully understand the terms and conditions in the Tingchi Member Service Agreement (hereinafter referred to as the “Agreement”) before purchasing and using Tingchi membership services, especially the terms and conditions marked in bold, which you should read carefully .
You should have the civil capacity appropriate to your behavior as prescribed by the laws of the People’s Republic of China. If you do not have the civil capacity to sign a contract appropriate to your behavior, please ensure that your guardian agrees to all your actions. In this case, you and your guardian shall bear all the consequences resulting therefrom in accordance with the law.
If you disagree with any of the terms of this Agreement, or cannot accurately understand this Agreement, please do not purchase or use the Tingchi membership service. Your purchase and / or use of the Tingchi membership service is deemed as acceptance of all the contents of this Agreement, which also means that you will be bound by this Agreement and the terms of future updated versions of this Agreement, and obey the unified management of the Tingchi platform.
1. Confirmation and Change of this Agreement
1. This Agreement is an agreement between you and Tingchi Platform (hereinafter referred to as “Tingchi”) regarding the use of Tingchi membership services. Among them:
“You” refers to the individual who enjoys the membership services provided by Tingchi.
“Tingchi Member Service” is a network value-added service provided by Tingchi to users. After becoming a Tingchi member, you can enjoy certain privileges or participate in activities in accordance with this agreement. The specific service content is subject to the one provided by Tingchi. (hereinafter referred to as “Member Service”). The ownership and operation rights of the Member Service, as well as the right to formulate the Member Service system and activities, belong to Tingchi.
2. Once you agree to this Agreement, it will constitute the “Tingchi Member Service Terms” signed between you and Tingchi. If any clause in this Agreement conflicts or is inconsistent with other agreements signed between you and Tingchi and various announcements and rules that Tingchi has published or may publish in the future (other agreements signed between you and Tingchi and various announcements and rules that Tingchi has published or may publish in the future, hereinafter collectively referred to as “Tingchi Rules”), this Agreement shall prevail with respect to member services; other matters shall still be handled in accordance with Tingchi Rules.
3. Tingchi may update this Agreement from time to time. Once the new Agreement is published, it will replace the original Agreement. You can check the latest version of this Agreement through the announcement of the update of this Agreement released by Tingchi. If you do not accept the updated Agreement, you should stop using the Member Services immediately. If you continue to use the Member Services, you will be deemed to have accepted the modified Agreement.
2. Procedures for becoming a member of Tingchi
1. If you want to use the membership service, you need to log in first (the login accounts supported by Tingchi include but are not limited to WeChat scan code login and PayPal login, but the supported login account types may be adjusted from time to time, and the specific details are subject to the login page display). After you have successfully logged in to Tingchi, you can apply for membership services. The membership service you have opened is only applicable to the Tingchi account you logged in when applying for membership services. This account is the only basis for Tingchi to confirm your identity. If you choose to log in to Tingchi with a third-party account, you should ensure the stability, authenticity and availability of the third-party account. If you are unable to log in to Tingchi or use membership services due to the third-party account (such as the third-party account being blocked, etc.), you should contact the company to which the third-party account belongs.
2. After you have read and agreed to all the contents of this Agreement, paid the membership fee or completed all other procedures for becoming a member, you will obtain membership. If you continue to comply with the rules of Tingchi, you will be able to enjoy membership services during the membership service period. In addition, during specific events, Tingchi may distribute member invitation codes or provide lucky draws for the opportunity to win memberships, etc. On the premise that you meet the relevant event rules, you can use the above-mentioned member invitation codes, lucky draw member exchange coupons and other methods approved by Tingchi to offset all or part of the membership service fees in accordance with the relevant rules. If you disagree with any of the above processes or contents, you should stop the next step immediately. Once you have completed all the procedures for becoming a member, it is deemed that you have no objection to all the processes and their contents.
3. After you successfully open a Tingchi membership, you can enjoy a number of exclusive privileges and services, which are subject to the actual provision of Tingchi. Tingchi may apply preferential policies for membership service fees based on actual conditions. The specific preferential policies are subject to the information published by Tingchi on the relevant service page. Tingchi has the right to independently decide the application of such preferential policies and adjust them from time to time.
4. The validity period of membership starts from the time when the membership service is activated. The specific validity period is subject to the period you choose and pay the corresponding membership fee. You can log in to Tingchi and check it on the ” My ” page. After the validity period of membership expires, Tingchi will stop providing you with membership services.
5. Based on the adjustment of rights and interests and changes in business development, Tingchi may adjust the membership service fees required for membership service activation. The membership service fee adjustment will take effect from the date of announcement. The membership service you have activated before the effective date will not be affected. However, if the membership service needs to be renewed after the expiration, you need to pay according to the adjusted fee standard that has taken effect.
III. Rules for using Tingchi membership
1. When using the member service, you must carefully understand this agreement and the various rules published and updated by Tingchi from time to time, and confirm your account and select relevant operation options according to the Tingchi operation prompts. When using the member service, you should ensure that you are the right holder of the account, can use the account legally and effectively, and do not infringe the legal rights of any third party. Otherwise, if the actual owner of the account suffers losses, you shall be solely responsible for resolving the disputes arising therefrom and bear all legal responsibilities.
2. Tingchi may adjust Tingchi member privileges and service content from time to time according to business development changes. You should pay attention to and understand the changes in member privileges, service content and policies in a timely manner, and understand and agree to Tingchi’s adjustments. Before Tingchi adjusts the privileges, you may have enjoyed or are enjoying certain service content or rights. You understand and accept that Tingchi’s adjustment of the privileges may affect the rights you have enjoyed or are enjoying, and agree to use the privileges in accordance with the adjusted privileges without requiring Tingchi to bear any responsibility.
3. You acknowledge and agree that the Tingchi membership service is a virtual commodity. The Tingchi membership service fee is the price of the virtual commodity corresponding to the Tingchi membership service you purchased, rather than a prepayment or deposit, down payment, savings card, etc. When you activate the membership service, you should carefully check the account name, activation time and other specific information. Once the payment is successful, Tingchi will not refund the collected membership service fees, except for the circumstances prescribed by law and otherwise agreed in this Agreement. At the same time, during the validity period of the activated Tingchi membership, if you actively cancel or terminate the Tingchi membership service midway, Tingchi will not refund the collected membership service fees, except for the circumstances prescribed by law and otherwise agreed in this Agreement.
4. If the same entity has multiple Tingchi accounts and logs in as a Tingchi member, each Tingchi account will be identified as an independent account. The records of each account opening and using membership services and related data cannot be transferred, migrated, assigned, donated, sold, rented, or shared, regardless of whether the accounts are owned by the same person. Please distinguish them carefully when logging in / opening / renewing / participating in activities to avoid losses.
5. The gold coins, physical or virtual gifts, coupons, membership service invitation codes, etc. (if any) obtained by you in the process of using the membership service can only be used for the designated purposes announced by the official channels of Tingchi, and cannot be exchanged for cash or transferred, and will not be restored after use. Tingchi has the right to unilaterally determine (including adjust) its usage rules (including the validity period of use).
6. After the cancellation / termination of Tingchi membership , you can no longer participate in activities organized by Tingchi and can no longer enjoy the various privileged services and value-added services provided by Tingchi, that is, you will no longer enjoy membership services.
IV. Rights Statement:
1. You can check the purchase status of member services at any time on the “My” page of Tingchi. If you have any objection to the above records, you should immediately submit it to Tingchi. If Tingchi finds any errors after investigation and verification, it will be corrected. Otherwise, you agree that the transaction records on Tingchi will be the only valid basis for the purchase of member services.
2. You are solely responsible for any losses caused by Tingchi’s inability to provide membership services or any errors in providing membership services due to your own reasons. Tingchi does not provide return or exchange services, nor will it make any compensation or compensation, including but not limited to:
( 1 ) You fail to operate the membership service in accordance with this Agreement or the rules published and updated by Tingchi from time to time;
( 2 ) Your account is invalid, lost, or blocked;
( 3 ) You entered the wrong account number, made an improper operation, etc., which resulted in the wrong account number, wrong activation time, or wrong purchase amount;
( 4 ) Losses caused by the third-party payment or login account you have linked to, including but not limited to the freezing or seizure of the third-party payment or login account;
( 5 ) Property loss caused by your improper setting or keeping of passwords;
( 6 ) Property loss caused by your personal intent or gross negligence.
5. Penalty Rules
1. If you have committed any of the following acts,
(1) Obtaining membership services for oneself or others for profit;
(2) Provide member accounts to third parties for use in any form, such as renting, lending, or selling;
(3) Using any content obtained through the Member Services for purposes other than those specified in this Agreement;
(4) Using another person’s Tingchi account to purchase or use membership services;
(5) Obtain membership services through any system bug , loophole, robot software, spider software, crawler software, screen-swiping software or other informal means;
(6) Other acts that violate the principle of good faith or obtain membership services;
(7) Violation of court and pool rules.
Tingchi and its affiliates have the full right to punish you by taking one or more of the following measures at the same time without notifying you, depending on the severity of the situation. At the same time, Tingchi and its affiliates do not need to give you any compensation or refund, and will not return the consideration you paid for the membership service. They also have the right to cancel your participation in membership activities to obtain benefits (including but not limited to obtaining physical / virtual gifts, membership rights, membership service invitation codes, etc.). You shall bear the resulting responsibilities independently. If you cause losses to Tingchi and its affiliates or third parties, you shall be responsible for full compensation (including but not limited to compensation, fines, settlement fees, litigation arbitration fees, reasonable attorney fees, etc.).
( 1 ) Suspend or terminate the provision of all or part of the membership services and pool services;
( 2 ) Temporarily restrict or permanently block your relevant account.
VI. Force Majeure
1. Tingchi and its partners are not responsible for any losses you suffer due to system maintenance, upgrades, adjustments announced by the platform, third-party reasons such as communication equipment failure of the telecommunications department, computer viruses or hacker attacks, technical problems, network, computer failures, system instability, typhoons, earthquakes, tsunamis, floods, power outages, wars, terrorist attacks, government regulations and other force majeure reasons.
You understand and agree that in the process of using the membership service, you may encounter risk factors such as force majeure, which may cause the service to be interrupted. If the above situation occurs, Tingchi and its partners promise to cooperate with relevant units as soon as possible to handle and repair it in a timely manner, but Tingchi and its partners will not be responsible for any losses you suffer as a result and will not refund the price you paid for purchasing the membership service.
VII. Law
1. This Agreement shall be governed by the laws of the People’s Republic of China and shall exclude the application of any conflict of laws provisions.
2. Tingchi may negotiate with you to resolve any dispute arising from or related to this Agreement. If the negotiation fails, either party has the right to file a lawsuit with the People’s Court at the defendant’s place of residence.
8. Service Suspension, Interruption and Termination
1. You fully understand and agree that due to business development needs, emergencies, etc., Tingchi may change, suspend, limit or terminate part or all of its services. At that time, if you perform your obligations in accordance with the provisions of this Agreement, Tingchi will protect your legal rights and interests in accordance with the law. Except for cases clearly stipulated by the law, we have the right to directly refund you without your application.
IX. Supplementary Provisions
1. Tingchi’s failure to exercise, failure to timely exercise, or failure to fully exercise any right under this Agreement or in accordance with the law shall not be deemed a waiver of such right, nor shall it affect Tingchi’s ability to exercise such right in the future.
2. If any clause in this Agreement is wholly or partially invalid or unenforceable for any reason, the remaining clauses of this Agreement shall remain valid and binding, and Tingchi and you shall make every effort to implement the original intention of this Agreement.
3. The headings in this Agreement are for convenience only and shall not be used as a basis for interpreting these Terms.
4. Capitalized terms used in this Agreement but not otherwise defined shall have the meanings as defined in the Court Pool Rules.
